1. THE PLATFORM. URMRKT operates a business-to-business marketplace connecting agricultural buyers and sellers for physical spot transactions in hay, grains, fuel, and fertilizer. URMRKT is a marketplace and settlement platform: it is not a party to the commodity transaction, not a carrier, freight broker, warehouse operator, or insurer, and does not take possession of or title to the goods.
2. ELIGIBILITY AND AUTHORITY. Accounts are for businesses and authorized individuals. By registering you confirm you are authorized to act for the person or business identified in the account and that the registration information is accurate.
3. ACCOUNTS AND SECURITY. You are responsible for the activity on your account and for safeguarding credentials. URMRKT may suspend accounts for violation of these terms, the Acceptable Use and Market Conduct Policy, or applicable law.
4. FEES. Platform fees are disclosed at the point of transaction (currently a 2.5% buyer fee and a 2.5% seller fee on the commodity value). Fees are itemized on the transaction record and on settlement statements.
5. TRANSACTIONS. Physical spot transactions form under the Physical Commodity Transaction Terms, which are incorporated into this agreement. Orders marked binding become binding when accepted through the platform.
6. SUPPLEMENTAL TERMS. The Electronic Communications and Signatures Consent, Privacy Policy, Physical Commodity Transaction Terms, Acceptable Use and Market Conduct Policy, Payment Services and Funds Authorization Addendum (when payment features are used), and the Live Pilot Transaction Acknowledgment (during the pilot) are part of the agreement between you and URMRKT to the extent accepted or applicable.
7. DISCLAIMERS AND LIABILITY. The platform is provided as-is during the pilot. Commodity quality, quantity, delivery, and performance are the responsibility of the transacting parties. [Liability limits, governing law, venue, and dispute process: to be completed before adoption.]
